DO NOT PARTICIPATE IN THE NON-RECURRING PREMIUM ZONE CONTEST AND SWEEPSTAKES IF YOU DO NOT AGREE WITH THESE OFFICIAL RULES. INTERNET ACCESS IS REQUIRED.  VOID WHERE PROHIBITED BY LAW.

BY ENTERING INTO THE NON-RECURRING PREMIUM ZONE CONTEST AND SWEEPSTAKES, YOU AGREE THAT YOUR ENTRY AND THE PERSONAL INFORMATION COLLECTED FROM YOU IN CONNECTION WITH THE NON-RECURRING PREMIUM ZONE CONTEST AND SWEEPSTAKES WILL BE SHARED WITH THE SPONSOR. SPONSOR’S USE OF YOUR PERSONAL INFORMATION IS SUBJECT TO THE SPONSOR’S PRIVACY POLICIES AT THE LINKS PROVIDED BELOW.

THE NON-RECURRING PREMIUM ZONE CONTEST AND SWEEPSTAKES ARE IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY OR ASSOCIATED WITH FACEBOOK, INC., INSTAGRAM, INC., YOUTUBE, INC., TWITTER, INC., OR LINKEDIN CORPORATION, EVEN THOUGH SPONSOR MAY PROMOTE AND ADVERTISE THE NON-RECURRING PREMIUM ZONE CONTEST AND SWEEPSTAKES USING SERVICES PROVIDED BY ANY OF THE FOREGOING PLATFORMS.

Who We Are:  Zingeroo, Inc. (“Sponsor”) is a technology company that offers investors a competitive, social trading platform where they can track performance on individual trades in the stock market.  The trading platform is accessed through Sponsor’s mobile application, (the “Zingeroo App”).  Among Sponsor’s various unique offerings through the Zingeroo App are “Premium Zones,” where, based upon the parameters of the particular Premium Zone, either the entire portfolio in an investor brokerage account (each, a “Portfolio”), or certain positions and trades in an investor brokerage account, compete against those of others during a certain time period.  Generally, in these Premium Zones, the highest Weighted Average Performance (as defined below) during the applicable time period wins the Premium Zone.  “Weighted Average Performance” means the total dollar change among positions that are entered into the Premium Zone based upon the price at the start of the Premium Zone and the final price when the Premium Zone ends, or when a position is sold.  Sponsor offers recurring Premium Zones that recur on a regular basis (e.g., monthly) as well as one-time, non-recurring Premium Zones (each one-time, non-recurring Premium Zone a “Non-Recurring Zone”).  These official rules (the “Official Rules”) govern the contest and sweepstakes associated with Non-Recurring Zones only.  Sponsor’s other contests and sweepstakes, including those related to recurring Premium Zones, are governed by their own official rules.

Sponsor, Rules, and Terms of Use:  The My Bracket Busted Non-Recurring Zone Contest (the “Contest”) and accompanying giveaway (the “Sweepstakes”) are sponsored by Zingeroo, Inc., 90 Canal Street, Suite #443, Boston, MA 02114, subject to the terms and conditions set forth in these Official Rules.  In addition, the terms and conditions of use for the Zingeroo App (the “Terms of Use”) are hereby incorporated into and made a part of these Official Rules by this reference.  In the event any provision of the Official Rules conflicts with any provision of the Terms of Use, the provision of the Official Rules shall govern and control only with respect to Non-Recurring Zone Contests and Sweepstakes, and only to the extent of the conflict.  The interpretations of these Official Rules by the Sponsor are final and binding in all matters relating to the Contest and Sweepstakes.

Eligibility:  The Non-Recurring Zone Contests and Sweepstakes are void where prohibited by law. You must (i) be a legal resident of the United States, (ii) be 18 years or older at the time of entry, and (iii) possess a valid form of identification in order to enter (“Eligible Participants”).  Sponsor, its affiliates, and their representatives, as well as their employees and members of each of their immediate families and those living in the same household of each are not eligible to enter. All applicable federal, state and local laws and regulations apply. Void where prohibited by law.

Eligible Participants for the Contest portion must have successfully opened a brokerage account with Sponsor’s affiliate, Z-Squared Securities, LLC (“Z-Squared”) prior to the beginning of the Contest Period (as defined below), download and install the Zingeroo App on a compatible device prior to the Contest Period, as well as remain a customer in good standing with Z-Squared throughout the Contest Period.  With respect to the Sweepstakes portion of the Non-Recurring Zone Contests and Sweepstakes, it is not required that Eligible Participants have a brokerage account with Z-Squared or the Zingeroo App.  Individuals who desire to enter the Sweepstakes portion without such brokerage account or access to the Zingeroo App must do so using one of the AMOE (described and defined below).

With respect to the Contest portion, the Contest shall require that not less than five (5) Eligible Participants enter.  In the event the number of Entrants (as defined below) is less than five (5) upon expiration of the Contest Period, Sponsor reserves the right to cancel the Contest and refund the entrance fee to all Entrants.  The maximum number of Entrants to this Contest shall be twenty-five (25) Entrants.

Entry Period:

The Contest occurs during the Non-Recurring Zone active period, as set forth in the Zingeroo App, beginning at 9:29 a.m. Eastern Time on Monday, April 3, 2023 during the Non-Recurring Zone active period and ending at 4:01 p.m. Eastern Time on Friday, April 7, 2023 during the Non-Recurring Zone active period (the “Contest Period”). No entries will be accepted after expiration of the Contest Period.

Sweepstakes entry is open beginning on Monday, March 27, 2023 and ending at 4:00 p.m. EST on April 7, 2023 (“Sweepstakes Period”). One (1) or more Eligible entries will be selected as the Sweepstakes Winner (as defined below).

How to Enter the Contest:

To enter the Contest, you must join the My Bracket Busted Non-Recurring Zone on the Zingeroo App, and then follow and complete, as necessary, the instructions provided in the Zingeroo App, including paying the Contest entry fee of $4.99, in order to complete and submit the Contest entry form through the Zingeroo App, which may include, among other things, providing the Eligible Participant’s full legal name, e-mail address, telephone number, and various representations as required by the Sponsor.  An Eligible Participant will be deemed to have entered the Contest (thereby becoming an “Entrant”) by joining the Non-Recurring Zone and submitting the Contest entry form through the Zingeroo App.

Entry into the Contest is limited to one (1) per person. Entries to the Contest received from any person from any method of entry in excess of the above stated limitation will be void. You may not enter more times than indicated by using multiple e-mail addresses, identities, devices, or a virtual private network in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility, and, in the event that you have a brokerage account with Sponsor’s affiliate, Z-Squared, Sponsor, in Sponsor’s sole discretion, may liquidate all of the positions that you have in, and close, your brokerage account with Z-Squared. Entries that are incomplete or do not adhere to the entry form’s specifications or these Official Rules may be disqualified at Sponsor’s sole discretion.

How to Enter the Sweepstakes:

There are two (2) methods of entry to the Sweepstakes.  First, you may be entitled to automatic entries if you have previously been awarded them through the Contest portion of this promotion, in accordance with these Official Rules.

If you have not been awarded automatic entries into the Sweepstakes as a winner of the Contest and have an active, unrestricted Z-Squared brokerage account, then you may enter the Sweepstakes in an alternative manner (the “Alternative Method of Entry” or “AMOE”) by sending via United States Postal Service Mail your name, address, email address and phone number on a 3”x5” card, to 90 Canal Street, Suite #443, Boston, MA 02114, Attention: Zingeroo My Bracket Busted Non-Recurring Zone Sweepstakes. Should you choose to enter the Sweepstakes by opening a brokerage account with Z-Squared, you will be required to execute the Z-Squared Customer Agreement, available at https://zingeroo.com/z-squared-securities-customer-agreement/ (the “Customer Agreement”), the terms and conditions of which are hereby incorporated into and made a part of these Official Rules by this reference.

All Eligible entries to the Sweepstakes must be received by the Sponsor no later than the last day of the Sweepstakes Period. All entries received after the last day of the Sweepstakes Period will be ineligible for participation in the Sweepstakes. If the Sponsor does not receive an entry for any reason, such entry will be invalid and will be ineligible to receive the Prize (as defined below). Unless you have been granted entry by virtue of winning a contest sponsored by Sponsor, entry into this Sweepstakes is limited to one (1) entry per person.  Entrants may not create multiple entries through use of multiple email addresses, identities, devices, or a virtual private network in an attempt to circumvent the rules.  If you use fraudulent methods or otherwise attempt to circumvent the rules relating to entering the Sweepstakes, your entry may be removed from eligibility, and, in the event that you have a brokerage account with Sponsor’s affiliate, Z-Squared, Sponsor, in Sponsor’s sole discretion, may liquidate all of the positions that you have in, and close, your brokerage account with Z-Squared.

If you are an Eligible Participant and have entered the Sweepstakes in one of the above manners, you will be deemed an “Entrant” in the Sweepstakes.

How to Win the Contest:

The objective of the Contest is to achieve the highest Weighted Average Performance of your Portfolio positions and trades equities, exchange traded funds and options out of all other Entrants participating in the Non-Recurring Zone during the Contest Period. Entrants who do not enter any positions into a Non-Recurring Zone shall be ineligible to win a Prize. The performance of any position that was subject to a mandatory corporate action, including but not limited to buybacks, identifier changes, issuer name changes, liquidations, mergers, reverse splits, spinoffs, splits or takeovers, during the Contest Period of the My Bracket Busted Non-Recurring Zone will be disregarded and excluded in the calculation of Weighted Average Performance.  Any change to an Entrant’s Weighted Average Performance after expiration of the Contest Period will not be included in an Entrant’s rank. Weighted Average Performance shall be based on an Entrant’s Portfolio positions and trades only in equities, exchange traded funds and options, as indicated in the Non-Recurring Zone requirements. An Entrant’s Weighted Average Performance may differ from actual performance. Please be sure to review the Non-Recurring Zone requirements prior to joining the Non-Recurring Zone and engaging in any trading activity on the Zingeroo App. To achieve the objective, Entrants may access the Zingeroo App to buy and sell stocks and options available on the Zingeroo App. All activities must be done in accordance with these Official Rules, the Non-Recurring Zone requirements available to each Eligible Participant prior to joining the Non-Recurring Zone, and the Customer Agreement. Sponsor is not responsible for any errors, technical difficulties, or other issue related to any transaction as it relates to an Entrant’s performance. Remedies, if any, shall be provided in a manner as determined by the Sponsor in its sole discretion.

Contest Prizes and Odds: The prize for winning the Contest (each, a “Contest Prize”) is in the form of automatic entries into the Non-Recurring Zone Sweepstakes.  WINNING ENTRIES INTO THE SWEEPSTAKES BY BECOMING A WINNER OF THE CONTEST DOES NOT GUARANTEE THAT YOU WILL WIN ANY SWEEPSTAKES PRIZE, OR THAT YOUR CHANCES OF WINNING A SWEEPSTAKES PRIZE WILL BE GREATER THAN IF YOU HAD ENTERED THE SWEEPSTAKES BY OTHER METHODS OF ENTRY.

The number of entries to the Sweepstakes granted to Winners of the Contest shall depend upon the Winner’s overall placement in the Contest.  To see how many entries to the Sweepstakes each Winner shall be entitled to receive, visit the Non-Recurring Zone on the Zingeroo App and select the tab called “Sweepstakes.” There you will find a table of Sweepstakes entry distributions to the top 20% of Contest Entrants.

Odds of winning the Contest are dependent on the number of Entrants that have entered the Contest. The Prize must be accepted as awarded and no substitution, transfer, conversion or assignment of the Prize is allowed. The Prize is not redeemable for cash and cannot be used for any purpose other than entrance into the Sweepstakes. In the event of unavailability of the Prize or any part thereof, the Sponsor may substitute an alternative prize of equal or greater value at its sole discretion.

Contest Prizes are automatically awarded to the Contest Winners. Contest Winners may access the Zingeroo App at any point following the expiration of the Contest Period to see if they are a Contest Winner and the number of Sweepstakes entries awarded to them. ANY VIOLATION OF THESE OFFICIAL RULES BY A CONTEST WINNER (AT SPONSOR’S SOLE DISCRETION) WILL RESULT IN THE CONTEST WINNER’S DISQUALIFICATION AS A WINNER OF THE CONTEST, AND SPONSOR MAY CHOOSE AN ALTERNATE CONTEST WINNER IN ITS SOLE DISCRETION.

Selection of Contest Winners: Entrants may view the standings at any time during the Contest Period by accessing the Zingeroo App and selecting the Non-Recurring Zone. The top 20% of Contest Entrants with the highest standings and ranks (each a “Contest Winner”) shall be announced on April 7^th, 2023 through the Zingeroo App and/or by e-mail.

How to Win the Sweepstakes:

On or about April 7^th, 2023 (the “Drawing Date”), the Sponsor will select one (1) or more winners of the Sweepstakes (the “Sweepstakes Winner”) to receive the Sweepstakes Prize (as defined below) by selecting an eligible entry at random from the pool of Entrants. If a Sweepstakes Winner cannot be contacted, fails to return the required documents in the required time as provided herein, refuses or is unable to accept the Sweepstakes Prize, or is otherwise in violation of these Official Rules, the Sponsor shall select another Sweepstakes Winner, in accordance with the terms of the previous sentence, to replace the Sweepstakes Winner originally selected. Each Sweepstakes Winner will be contacted through the Zingeroo App or via email.

For clarity, when used herein “Winner” means either a Contest Winner, a Sweepstakes Winner, or both, and may refer either to the single or plural form, as dictated by the context.

Sweepstakes Prizes and Odds:

The prize or prizes awarded to one (1) Sweepstakes Winner or to more than one Sweepstakes Winner shall include the following item or items, with a total estimated retail value of all of the combined prizes, of $750.00 USD (the “Sweepstakes Prize”):

• One or more shares, or a fraction of a share including less than one share, of the Invesco QQQ Trust Exchange Traded Fund (ticker symbol: QQQ)

The odds of being selected as a Sweepstakes Winner depend on the number of eligible entries received. The Sweepstakes Prize must be accepted as awarded and no substitution, transfer, conversion or assignment of the Prize is allowed. The Sweepstakes Prize is not redeemable for cash. In the event of unavailability of the Sweepstakes Prize or any part thereof, the Sponsor may substitute an alternative prize of equal or greater value at its sole discretion.

THE SWEEPSTAKES PRIZE WILL BE PROVIDED BY THE SPONSOR TO THE SWEEPSTAKES WINNER “AS IS.” THE SPONSOR DOES NOT MAKE, AND EXPRESSLY DISCLAIMS, ANY WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY, REGARDING THE SWEEPSTAKES PRIZE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED OR STATUTORY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT.

For clarity, when used herein “Prize” means either a Contest Prize, a Sweepstakes Prize, or both, as dictated by the context.

Disqualification: At the sole discretion of the Sponsor, disqualification, forfeiture and the selection of alternate Winners may result from any of the following: (i) a Winner’s failure to provide Sponsor with satisfactory proof of age, identity and residency, or failure or refusal to complete, execute, and return to Sponsor any tax forms, affidavits, waivers, releases, indemnity agreements, and/or any additional documents required by Sponsor in Sponsor’s sole discretion and/or required by applicable tax authorities; or (ii) a Winner’s non-compliance with the Official Rules, Terms of Use, Code of Conduct, or Customer Agreement. In the event of a Prize forfeiture, the Sponsor may, in its sole discretion, award or not award the forfeited Prize to an alternative Winner. In no event shall the Sponsor be obligated to award more Prizes than the number of Prizes stated in these Official Rules.

Winner’s List: For any legally required Winners’ lists, send a self-addressed stamped envelope (unless otherwise prohibited by local law) to Zingeroo, Inc., 90 Canal Street, Suite #443, Boston, MA 02114, Attn: Zingeroo My Bracket Busted Non-Recurring Zone Winners’ List.  All such requests must be received within twelve (12) months after the end of the Contest or Sweepstakes, as applicable, or such longer time if required by applicable law.

Taxes and Expenses: Entrants are responsible for any tax consequences as a result of the Entrants’ participation in the Contest, Sweepstakes, and otherwise. All taxes on the Prize are the sole responsibility of each Winner.  Any expenses related to accepting and/or using a Prize not listed in these Official Rules, are the sole responsibility of the Winner.

Publicity: As a condition of entry into the Contest and Sweepstakes, except where prohibited by law, each Winner, by accepting a Prize, hereby grants to the Sponsor, its affiliates, and its and their respective officers, directors, shareholders, employees, representatives, and agents (collectively, “Sponsor Parties”)  a perpetual, worldwide, royalty-free license and right, to publicize, broadcast, display and/or otherwise use each Winner’s full name, nicknames, voice, likeness, image, portrait, photograph, city, state, and other biographical material (collectively, “Licensed Rights”) in any media now known or hereafter devised throughout the world in perpetuity for advertising and publicity purposes, without additional review, compensation, permission or approval of the Winner.

Mailing List: By entering a Non-Recurring Zone or otherwise entering the Sweepstakes via AMOE, you agree to receive newsletters and other promotional material from Sponsor. You may update your newsletter subscription preferences, and may opt-out of marketing emails altogether, upon receipt of any newsletter email from Sponsor.

Release: By participating in the Contest or Sweepstakes, and/or accepting any Prize, each Entrant/Winner agrees to defend, release and hold harmless the Sponsor Parties from and against any and all actions, claims and/or liability for injury, loss or damage of any kind, (including the violation or infringement of any proprietary or personal right of any individual or entity) resulting in whole or in part, directly or indirectly, from participation in the Contest or Sweepstakes, and/or the use, acceptance, or possession of the Prize, and/or participation in a Prize-related activity, including any action, claim or liability arising from the unauthorized submission of any information.

Entrants agree that by participating in the Contest and/or Sweepstakes they hereby release the Sponsor Parties from any liability in connection with: (a) entries that are ineligible as a result of being lost, late, illegible, damaged, incomplete, stolen, misdirected, or in violation of these Official Rules; (b) any typographical or other human or technical errors in the offer or administration of the Contest or Sweepstakes, including but not limited to errors in advertising, these Official Rules, the selection and announcement of the Winners, or the distribution/awarding of the Prizes; (c) any omission, interruption, deletion, defect, delay, misdirection, damage, injury, technical malfunctions or traffic congestion on the Internet/telephone network, or at any website, or any combination thereof.

Privacy Policy: Information submitted with an application is subject to the Privacy Policy stated on Sponsor’s website at  https://zingeroo.com/privacy-policy/. 

Z-Squared Customer Agreement: You understand that your account with Z-Squared, if any, is subject to the terms and conditions of the Zingeroo Customer Agreement, available at  https://zingeroo.com/z-squared-securities-customer-agreement/. Z-Squared may at any time, in its sole discretion, terminate, suspend, restrict, or otherwise limit your account per the terms of the Customer Agreement. Any such action by Z-Squared during the Contest Period against an Entrant will result in the Entrant’s removal from the Contest by the Sponsor. Upon removal from the Contest, the Entrant will not be eligible to continue its participation in the Contest and will not be eligible to win any Prize.  Such Entrants may still enter the Sweepstakes via AMOE provided they meet all other eligibility criteria.

TO THE FULLEST EXTENT PERMITTED BY LAW, SPONSOR EXPRESSLY DISCLAIMS ANY LIABILITY FOR INJURIES, DAMAGES, LOSSES, AND/OR CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE NON-RECURRING ZONE, THE CONTEST, THE SWEEPSTAKES, ANY PRIZE, OR THE WINNER’S USE OR ENJOYMENT OF A PRIZE.  SPONSOR MAKES NO WARRANTIES OR GUARANTEES REGARDING THE PRIZE. UNDER NO CIRCUMSTANCES SHALL ANY SPONSOR PARTY BE RESPONSIBLE OR LIABLE FOR A WINNER’S EXPENSES, INCLUDING, WITHOUT LIMITATION, TAX OBLIGATIONS, OR ANY OTHER OBLIGATION OF THE WINNERS. SPONSOR’S LIABILITY SHALL BE LIMITED SOLELY TO PROVIDING THE PRIZE HEREUNDER IN ACCORDANCE WITH THESE OFFICIAL RULES.

Representations and Warranties; Consents; Indemnification:

By entering the Contest and/or Sweepstakes, you: (a) represent and warrant that (i) you have read, and agree to be bound by, these Official Rules including all additional terms, conditions, and policies incorporated herein, (ii) based on these Official Rules, you are eligible to participate in the Contest and/or Sweepstakes, and (iii) all of the information provided as part of your entry is accurate, does not violate any third party’s legal rights (including, without limitation, rights of privacy and publicity), and otherwise does not violate applicable law; (b) consent to the use of your name and/or likeness by the Sponsor for promotional purposes (whether online, in print or through any other media now known or hereafter developed), without additional compensation or authorization unless prohibited by law; and (c) agree to be bound by the interpretations of these Official Rules by the Sponsor, in its sole and absolute discretion, which are final and binding in all matters relating to the Contest and Sweepstakes.  Sponsor reserves the right to disqualify any participant or Winner and may refuse to award the Prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the Contest and/or Sweepstakes, or obtained Winner status using fraudulent means.

Entrants hereby release, discharge, and agree to indemnify and hold harmless the Sponsor Parties and their respective officers, directors, owners, employees, members, managers, agents, licensees, contractors, representatives, successors, and assigns from and against any liabilities, damages, injuries, losses, costs, or expenses incurred as a direct or indirect result of the Non-Recurring Zone, Contest, Sweepstakes, or any Prize.

Waiver of Certain Damages: As a condition of participating in the Contest or Sweepstakes, you agree that: (i) under no circumstances will you be permitted to obtain an award for, and you hereby waive all rights to claim, punitive, incidental, consequential or any other indirect damages; and (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest or Sweepstakes, but in no event shall any claim, judgment or award include attorneys’ fees or any equitable or injunctive relief.

Each Winner acknowledges and agrees that the Sponsor and its parents, subsidiaries and affiliated companies, advertising and promotion agencies, and all of its officers, directors, managers, members, employees, representatives and agents will have no liability whatsoever, and shall be held harmless by each Winner for any injuries, claims, losses or damages of any kind to any person, including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of a Prize.

General: Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sponsor is not responsible for any problems or technical malfunction of any telephone network or telephone lines, communication transmissions, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail, courier, or entry to be delivered to and received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer or mobile device relating to or resulting from participation in the Contest and/or Sweepstakes, or downloading any materials in the Contest and/or Sweepstakes. Cellphone carriers may charge for data usage for entering the Contest and/or Sweepstakes using a mobile phone and for using the Zingeroo App.

Sponsor is not responsible for: (i) failed, returned or misdirected notifications based upon inaccurate information provided by a Winner; (ii) entries and responses to Winner notifications which are lost, late, incomplete, illegible, unintelligible, postage-due, misdirected, damaged or otherwise not received by the intended recipient in whole or in part or for computer or technical error of any kind; (iii) any electronic miscommunication or failure, technical hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions which may limit an Entrant’s ability to participate in the Contest or Sweepstakes; or (iv) any technical malfunctions of the Zingeroo App, telephone network, computer on-line system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury or damage to Entrant’s or any other person’s computer related to or resulting from participating in the Contest or Sweepstakes. Participation in the Contest and Sweepstakes is at your own risk. Further, if, or any reason, the Contest or Sweepstakes is not capable of running as planned for reasons outside the control of the Sponsor which, in the sole opinion of Sponsor, may corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sweepstakes, or portion thereof, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest, Sweepstakes, or portion thereof. Sponsor also reserves the right at its sole discretion to disqualify the entry of any individual found to be: (a) tampering or attempting to tamper with the entry process or the operation of the Contest or Sweepstakes, or any website operated by the Sponsor Parties; (b) using any robotic, macro, automatic, programmed or like entry methods, which will void all such entries; (c) violating these Official Rules including the Terms of Use and any other policies or rules of Sponsor incorporated herein or made a part hereof; or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person. Sponsor Parties are not responsible for claims, injuries, losses or damages of any kind resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of a Prize. Sponsor reserves the right to modify these Official Rules in any way or at any time.

Any disputes that arise hereunder shall be governed in all respects by the laws of the State of Massachusetts without regard to the conflicts of laws principles of any jurisdiction.  Entrants hereby consent to exclusive jurisdiction and venue of the courts located in Massachusetts in any action to enforce (or otherwise relating to) these Official Rules or relating to the Contest and Sweepstakes.  Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Sponsor reserves the right to disqualify Entrants who violate these Official Rules or interfere with the Contest or Sweepstakes in any manner.  If an Entrant is disqualified, Sponsor reserves the right to terminate that Entrant’s eligibility to participate in the Contest and/or Sweepstakes. Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend part or all of the Contest or Sweepstakes at any time without notice and for any reason, including if in Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest or Sweepstakes, or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness, or integrity and proper play of the Contest or Sweepstakes.
